Article 354
|
When it is deemed necessary, the court may, on the basis of the report mentioned in the preceding article, effect any of the following dispositions:
- Measures of preservation on the property of the company;
- Prohibition against transfer of registered shares;
- Prohibition against release of the responsibilities of any of the promoters, directors, supervisors, managerial officers or liquidators;
- Annulment of the release of the responsibilities of any of the Promoters, directors, supervisors, managerial officers or liquidators; this, however, shall not apply to any release effected one year prior to the institution of the special liquidation other than for any illegal purpose;
- Assessment of any claim for damages arising from the responsibilities of any of the promoters, directors, supervisors, managerial officers or liquidators; and
- Measures of preservation on the property of any of the promoters, directors, managerial officers or liquidators on account of any claim for damages mentioned in the preceding item.
