Directions for Public Companies Conducting Private Placements of Securities  CH

7     For securities privately placed by an TWSE listed or TPEx listed company, and for any securities thereof that are distributed, converted, or subscribed subsequent to the private placement, the company shall, for 3 full years following the delivery date of the private placement securities, obtain a letter issued by the TWSE or TPEx acknowledging that the securities meet the standards for TWSE listing or TPEx listing before it may file with the FSC for retroactive handling of public issuance procedures.
    For securities privately placed by a TWSE listed, TPEx listed, or emerging stock company, and for any securities thereof that are distributed, converted, or subscribed subsequent to the private placement, the company shall deliver the securities by book-entry transfer instead of printing physical certificates of the securities, and the company is exempted from the requirement of certification under the Regulations Governing Certification of Corporate Stock and Bond Issues by Public Companies.
