Article 1

The Procedures are established for the execution of cases entrusted to the TWSE by the Financial Supervisory Commission (hereinafter referred to as the Competent Authority) in accordance with Regulations Governing the Declaration of Acquisition of Shares in Accordance with Article 43-1, Paragraph 1 of the Securities and Exchange Act (hereinafter referred to as the “Regulations on Acquisition of Shares”) as amended and promulgated by the 30 January 2024 Order No. Financial-Supervisory-Securities-Trading-1130380209 of the Financial Supervisory Commission, in order to handle the cases.

Article 2
|
The TWSE is entrusted to handle the following types of share acquisition declaration cases in accordance with the Regulations on Acquisition of Shares and other relevant laws and regulations:
- Cases of initial acquisition declaration as stipulated in Articles 6 and 11 of the Regulations on Acquisition of Shares.
- Cases of change declaration as stipulated in Article 7 of the Regulations on Acquisition of Shares.
- Changes in joint acquirers of previously reported share acquisition cases.
- Cases of acquisition declaration by government-managed retirement and insurance funds as stipulated in Article 8 of the Regulations on Acquisition of Shares.

Article 3
|
For the cases mentioned in the preceding article, the acquirer should follow the regulations below to make announcements and submit various declaration forms, specifying the required information, along with the necessary attachments and annexes, and transmit them to the Market Observation Post System for reporting to the TWSE:
- For cases mentioned in Subparagraph 1 of the preceding article, submit Form 1 and its annexes.
- For cases mentioned in Subparagraph 2 of the preceding article, submit Form 2 and its annexes.
- For cases mentioned in Subparagraph 3 of the preceding article, submit Form 2 or Form 3 and their annexes.
- For cases mentioned in Subparagraph 4 of the preceding article, submit Form 1 and its annexes.

Article 4
|
After accepting the cases mentioned in Article 2, the TWSE handling personnel should perform the following tasks:
- Review whether the declaration forms, annexes, and related documents are complete.
- Review whether the content of the declaration forms, annexes, and related documents contain errors or if there are any overdue reports and announcements.
If errors or omissions are found in the content of the acquirer's reported cases, the TWSE will notify the acquirer to make corrections.
If any violations are found in the reported cases accepted by the TWSE, the relevant attachments will be submitted to the Competent Authority.

Article 5
|
The Procedures will be announced and implemented upon approval by the Competent Authority, and the same applies to amendments.
The annexes to this procedure will be implemented upon approval by the TWSE president, and the same applies to amendments.
